Source4Style.com is a website for exhibiting and showcasing textiles, materials and similar supplies – as well as an editorial content site that includes a blog; advertising; webinars; trend reports and various email services available on or through Source4Style.com (“Services”).
By using the Source4Style.com website (“Source4Style” or the “Website”), a service of S4 Style, Inc., you, the “User” (“User” refers to any individual who, on behalf of an institution, an organization, a firm, a company or on his own behalf, (1) visits Source4Style, and/or (2) registers to use Source4Style, and/or (3) registers and places an order on Source4Style and/ or (4) subscribes for greater access to the Site via a Premium Level Membership (who must be the User or an employee of the User) for the periods and at the fees set out in its Order and the term) agree that:
1. Source4Style is a Venue
Source4Style acts as a venue to allow users who comply with Source4Style’s policies, to showcase, display, sell, book and buy materials, fabrics and other related notions – as well as other services such as webinars and trend reports. Source4Style is not the purveyor or vendor of these offers. Source4style, as an accommodation to the users of the site, and to facilitate the dealings between the Users of the site, does facilitate the dispatch of swatches and samples. Except in cases where Source4Style dispatches samples and swatches, Source4Style is not directly involved in the interaction and transaction between buyers and sellers. Source4Style has no control over the quality, safety, morality or legality of any aspect of the items listed, the truth or accuracy of the listings, or the ability of sellers to sell items. Source4Style pre-screens users, the content, and information provided by sellers for the sole purpose of curation. Source4Style cannot ensure, nor does it guarantee that a buyer or seller will actually respond to User or complete a transaction.
Source4Style does not transfer legal ownership of items from the seller to the buyer. Source4Style cannot guarantee the true identity, age, and nationality of a user. Source4Style encourages you to communicate directly with potential transaction partners through the tools available on the Site in the Premium Level Membership.
1.1. In certain circumstances (for example a trial of the Site), Source4Style may agree with an institution, organization, firm, company or individual to grant access to the Site (or to limited sections of it) by its nominated users without charge. Please note that for the purposes of this Agreement, the institution, organization, firm, company or individual who enters into such agreement with Source4Style shall be included within the definition of “User,” their nominated individual(s) shall be included within the definition of “User(s)” and that all of the provisions of this Agreement shall apply equally to them except that no Subscription Fees shall be payable in respect of that trial period.
You agree that Source4Style is a venue and as such is not responsible or liable for any content, for example, data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links posted by you, other users, or outside parties on Source4Style. You use the Source4Style service at your own risk.
2. License
2.1 In consideration of the payment of the Subscription Fees, if any, and the User and its authorized users fulfilling all their obligations under this Agreement, Source4Style grants to the User and its designated users, a non-exclusive non-transferable limited license to access and utilize the Site in accordance with this Agreement.
2.2 The license shall (subject to suspension and/or early termination in accordance with this Agreement) continue for the period set out in the Order (“the License Period”), and continue thereafter for further renewal license periods of [one year] (each a “Renewal Period”) unless earlier terminated in accordance with this Agreement. Subscription license will automatically renew unless terminated by the User before the end of the license.
3. Membership Eligibility
Source4Style.com and the Services are reserved exclusively for professional purchasers, sellers, and resellers of sustainable products related to fashion, apparel, interior design, and home textiles markets – as well as educational institutions – that are acceptable to Source4Style in its sole discretion. Although Source4Style attempts to limit the use of Source4Style.com and the Service to such purchasers, sellers, and resellers of sustainable fashion, apparel and interior textiles, nothing herein shall create any right of action against Source4Style for failing to adequately screen potential users to prevent the use of Source4Style.com or the Services by users who are not both considered “sustainable” and/or professional purchasers, sellers, and resellers of sustainable fashion, apparel and interior textiles.
Other eligibility for membership is as follows:
Age: Source4Style’s services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law. Individuals under the age of 18 can use this service only in conjunction with and under the supervision of a parent or legal guardian. In this case, the adult is the user and is responsible for any and all activities.
Compliance: You agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for all applicable taxes. In addition, you must abide by Source4Style’s policies as stated in the Agreement and Source4Style’s Privacy Policy.
Password: Keep your password secure. You are fully responsible for all activity, liability and damage resulting from your failure to maintain password confidentiality. You agree to immediately notify Source4Style of any unauthorized use of your password or any breach of security. You also agree that Source4Style cannot and will not be liable for any loss or damage arising from your failure to keep your password secure.
Account Information: You must keep your account information up-to-date and accurate at all times, including a valid email address.
Account Transfer: You may not transfer or sell your Source4Style account and User ID to another party. If you are registering as a business entity, you personally guarantee that you have the authority to bind the entity to this Agreement.
Right to Refuse Service: Source4Style’s Services are not available to temporarily or indefinitely suspended Source4Style members. Source4Style reserves the right, in Source4Style’s sole discretion, to cancel unconfirmed or inactive accounts. Source4Style reserves the right to refuse service to anyone, for any reason, at any time.
4. User Obligations and Liability
4.1 User Compliance with these Terms of Use Agreement
The User hereby undertakes to procure that all use of the Site by its authorized users will be in accordance with this Agreement.
4.2 Obligations for Users
Users shall pay to Source4Style:
4.2.1 (a) Any applicable subscription fees shall be payable when due, and each Renewal Period as set out in the Order and as the same may be varied by Source4Style from year to year.
(b) any other charges arising out of use of the Site by its designated Users (or any other individual using its User(s)’s ID).
4.2.2 Subscriptions will renew annually unless User notifies Source4Style its intention not to renew, in advance of the renewal date. Invoices for other charges incurred by User shall be presented to the User from time to time as they arise, and are payable upon presentation.
4.2.3 All invoices are due and payable upon receipt by the User. Accounts not paid by the earlier of the start date of the License Period/Renewal Period (as applicable) or within fourteen (14) days of the date of invoice (“the Payment Date”) shall be deemed overdue and Source4Style reserves the right to: (i) charge interest on such sums on a day to day basis from the Payment Date to the date of actual payment (both dates inclusive) at the rate of eighteen per cent (18%) per annum, such interest payable on demand; and (ii) withhold/suspend access to the Site by the User(s) following expiry of any fully-paid License Period/Renewal Period while any such invoices are outstanding. The User shall also be liable for all costs Source4Style incurs in collecting overdue sums including, without limitation, legal fees.
4.2.4 Termination: If Source4Style suspends or terminates your account, if you close your account, or if the payment of your Subscription Fee and transaction fees cannot be completed for any reason, you remain obligated to pay Source4Style for all unpaid fees plus any applicable penalties – as outlined in Clause 5.2.3, if applicable. If you have a question or wish to dispute a charge, you must contact Source4Style.
5. Listing and Selling
Listing Description: By listing an item or service on the Website you warrant that you and all aspects of the item or service and information attributed to that item or service, comply with Source4Style’s policies. You also warrant that you may legally sell the item or service. You must accurately describe your item and all terms of sale on Source4Style.com. Your listings may only include text descriptions, graphics, pictures and other content relevant to the sale of that item, and in most cases, be pre-approved by Source4Style. All items or services must be listed in an appropriate category with appropriate tags. Each listing must accurately and completely describe the item(s) or service(s) for sale in that listing.
Product Policies: All sellers are urged to outline policies for their Source4Style products. These policies may include, for example: shipping, returns, payment and selling policies. Sellers must create reasonable policies in good faith and must abide by such policies. All shop policies must comply with Source4Style’s site-wide policies. Sellers are responsible for enforcing their own reasonable policies. Source4Style reserves the right to request that a seller modify product policies.
Binding Sale: All sales are binding. The seller is obligated to ship the order or otherwise complete the transaction with the buyer in a prompt manner, unless there is an exceptional circumstance, such as: (a) the buyer fails to meet the terms of the seller’s listing (such as payment method), or (b) the seller cannot authenticate the buyer’s identity. The buyer is obligated to deliver appropriate payment for items purchased, unless there is an exceptional circumstance.
Fee Avoidance: The price stated in each item listing description on Source4Style may be an estimation of price but the final sale as specified by the seller must be an accurate representation of the sale. Sellers should – when possible – calculate reasonable duty or tax fees into the product. Sellers may charge reasonable handling fees to cover the costs for packaging and mailing the items. Sellers may not charge excessive handling fees and should otherwise avoid fees. Sellers may not misrepresent the item, the item’s location, or use another user’s account without permission.
6. Prohibited Activities
You are solely responsible for your conduct and activities on and relating to Source4Style and any and all data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links (together, “Content”) that you submit, post, and display on Source4Style. Restricted Activities: Your Content and your use of Source4Style shall not:
- Be false, inaccurate or misleading
- Be fraudulent or involve the sale of illegal, counterfeit or stolen items
- Infringe upon any third party’s copyright, patent, trademark, trade secret or other proprietary or intellectual property rights or rights of publicity or privacy
- Violate this Agreement, any site policy or community guidelines, or any applicable law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising
- Contain items that have been identified by the U.S. Consumer Products Safety Commission (CPSC)as hazardous to consumers and therefore subject to a recall
- Be defamatory, trade libelous, unlawfully threatening, unlawfully harassing, impersonate or intimidate any person (including Source4Style staff or other users), or falsely state or otherwise misrepresent your affiliation with any person, through for example, the use of similar email address, nicknames, or creation of false account(s) or any other method or device
- Be obscene or contain child pornography
- Contain or transmit any code of a destructive nature that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information
- Host images not part of a listing
- Link directly or indirectly, reference or contain information about goods or services offered external to Source4Style.
- Modify, adapt or hack Source4Style or modify another website so as to falsely imply that it is associated with Source4Style
- Appear to create liability for Source4style or cause Source4Style to lose (in whole or in part) the services of Source4Style’s ISPs or other suppliers
- Link directly or indirectly, reference or contain descriptions of goods or services that are prohibited under this Agreement, the Privacy Policy, or other policy documents as posted on Source4Style
Additionally, you agree not to:
- Contact anyone who has asked not to be contacted
- “Stalk” or otherwise harass anyone
- Collect personal data about other users for commercial or unlawful purposes
- Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service – unless expressly permitted by Source4Style
- Post irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure
- Post the same item or service in more than one classified category or forum
- Attempt to gain unauthorized access to Source4Style’s computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or www.Source4Style.com
- Or use any form of automated device or computer program that enables the submission of Content on Source4Style without such Content being manually entered by the author thereof (an “automated posting device”), including without limitation, the use of any such automated posting device to submit Content in bulk, or for automatic submission of Content at regular intervals.
Furthermore, you may not list any item on Source4Style that could cause Source4Style to violate any applicable law, statute, ordinance or regulation, or that violates this Agreement.
7. Content
License: Source4Style does not claim ownership rights in your Content. You grant Source4Style a license solely to enable Source4Style to use any information or Content you supply Source4Style with, so that Source4Style is not violating any rights you might have in that Content. You grant Source4Style a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, translation, excerpting and database rights (but no other rights) you have in the Content, in any media now known or not currently known, with respect to your Content. You agree to allow Source4Style to store or re-format your Content on Source4Style and display your Content on Source4Style in any way as Source4Style chooses. Source4Style will only use personal information in accordance with Source4Style’s Privacy Policy.
If you request the assistance of Source4Style to post content, or if you imply consent that Source4Style may post content on your behalf, either by written or oral means, or you fail to inform Source4Style that content should be removed, you are equally responsible for the content.
As part of a transaction, you may obtain personal information, including email address and shipping information, from another Source4Style user. Without obtaining prior permission from the other user, this personal information shall only be used for that transaction or for Source4Style-related communications. Source4Style has not granted you a license to use the information for unsolicited commercial messages. Without limiting the foregoing, without express consent from the user, you are not licensed to add any Source4Style user to your email or physical mail list. Obtaining Sample SwatchesBuying on Website: The Service is designed for experienced buyers accustomed to buying goods and services based on photographs and/or descriptive text. Buyers should assume that any goods offered may vary in quality and color and that the available information about the items may be limited. It is not possible for Source4style to verify exact information provided by the seller of any item or service. This service is provided by solely for the purpose of expediting User’s obtaining sample swatches economically and efficiently.
You agree that Source4Style shall not be responsible or liable for any loss or damage of any sort incurred as the result of any dealings between users of the Service. If there is a dispute between users of the Service, or between users and third party, you understand and agree that Source4Style is under no obligation to become involved and agree that Source4Style will not be made party to any such dispute. In the event that you have a dispute with one of more other users, you hereby release Source4Style, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our service. Further, should Source4Style become involved in any dispute between Users, you agree to hold Source4Style harmless and agree to indemnify Source4Style for any and all costs incurred by Source4Style in connection with such involvement, including reasonably attorneys’ fees.
Re-Posting Content: By posting Content on Source4Style, it is possible for an outside website or a third party to re-post that Content. You agree to hold Source4Style harmless for any dispute concerning this use. If you choose to display your own Source4Style-hosted image on another website, the image must provide a link back to its listing page on Source4Style.
8. Information Control
Source4Style does not control the Content provided by users that is made available on Source4Style. You may find some Content to be offensive, harmful, inaccurate, or deceptive. There are also risks of dealing with underage persons or people acting under false pretense.
Additionally, there may also be risks dealing with international trade and foreign nationals. By using Source4Style, you agree to accept such risks and agree that Source4Style (and Source4Style’s officers, directors, agents, subsidiaries, joint ventures and employees) is not responsible for any and all acts or omissions of users on Source4Style. Please use caution, common sense, and practice safe buying and selling when using Source4Style.
Endorsements to other sites
Links to other sites, including those of our sponsors, affiliate partners, and others are provided for informational purposes only and do not constitute endorsements or recommendations by Source4Style of those sites, or the information, materials, products or services contained on or accessible through the sites. Accessing such sites is solely at your own risk. Source4Style is not responsible for information provided on any site to which it is linked. Source4Style does not represent or endorse the accuracy, completeness or reliability of any advice, opinion, statement, or other information displayed or distributed through the Website. You are advised to verify the accuracy of any such information and you acknowledge that any reliance upon any such information shall be at your sole risk.
Other Resources: Source4Style.com and Content available through the Website may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of Source4Style, including websites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole. Source4Style is not responsible for the availability of outside websites or resources linked to or referenced on the Website. Source4Style does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. Your interactions with companies, organizations and/or individuals found on or through the Website, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. We guarantee that we have reported information fully on the site to the best of our ability with the knowledge and information that has been provided to us through our buyers and suppliers and our experience but do not guarantee the truth and accuracy of the Content and descriptions beyond that. 9. Use of Content
9.1 All intellectual property rights in the Website and in all material published on it are reserved by Source4Style and no such rights whatsoever are assigned to you under this Agreement
9.2 As a User you may in good faith and to the extent that the use of the Content is reasonable and the Content is owned by Source4Style:
(a) download and display any page(s) from the Website on a computer screen;
(b) where a page of the Website specifically states that specific Content may be downloaded, download and store it on the hard disk of your computer (but only use it to the extent so specified and not transfer or further copy it);
(c) print one copy of any page(s) from the Site and use it for private archival purposes only (but not further copy it); and
(d) use extracts from the Site to form a collage of ideas (in either electronic or hard copy form) PROVIDED THAT:
(i) the Content (but no material not taken from the Site or otherwise owned/licensed by Source4Style) is attributed to Source4Style by showing the ©Source4Style YYYY copyright sign;
(ii) the collage is used strictly and only for internal purposes within the User organization; and
(iii) no further copies of the collage are made.
9.3 For the avoidance of doubt, you shall not distribute, reproduce, modify, store, transfer or in any other way use any of the Content (including by using it as part of any library, news, information, archive or similar service) other than as set out in Clause 10.2, and in particular you shall not:
(a) upload Content into any shared system;
(b) create a database of any of the Content
(c) effect or permit “spidering” of the Website, i.e. collation of an automated stream of Content;
(d) include any Content in a website;
(e) make any commercial use of the Content whatsoever;
(f) make any use whatsoever of any of the Source4Style trade marks other than to the extent required to comply with Clause 10.2(d)(i); or
(g) remove the copyright or trademark notice from any copies of the Content.
9.4 The User shall notify Source4Style immediately in writing of any misuse of the Content and/or the Site including any infringement of copyright or other intellectual property rights arising in the Content and/or the Site.
9.5 Where any unauthorized use of Content by you is discovered, Source4Style shall be entitled to suspend your use of the Site immediately without any refund of the Charge or any Subscription Fees paid and require you to return or destroy any copies of the Content you have made.
9.6 Any consent given by Source4Style does not constitute either a general consent to use the Content or a waiver of any of the obligations and/or restrictions set out in these Terms & Conditions.
9.7 The User and its designated user(s) shall permit Source4Style to take such steps as Source4Style reasonably considers appropriate to monitor compliance by the User and its user(s) with the provisions of these Terms & Conditions and shall co-operate fully with Source4Style in relation to such monitoring.
10. Resolution of Disputes and Release
In the event a dispute arises between you and Source4Style, please contact Source4Style and provide details of the dispute, providing all relevant and material facts relating to the dispute in writing, within one week of the time when the dispute arose.
Should you have a dispute with one or more users, or an outside party, you release Source4Style (and Source4Style’s officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. Source4Style encourages users to use our contact tools on our site to confront other users and if need be, report user-to-user disputes to your local law enforcement, postmaster general, or a certified mediation or arbitration entity, as applicable.
Source4Style, for the benefit of users, may try to help users resolve disputes. Source4Style does so in Source4Style’s sole discretion, and Source4Style has no obligation to resolve disputes between users or between users and outside parties. To the extent that Source4Style attempts to resolve a dispute, Source4Style will do so in good faith based solely on Source4Style’s policies. Source4Style will not make judgments regarding legal issues or claims.
11. Source4Style’s Intellectual Property
Source4Style, and other Source4style graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks or trade dress of S4 Style, Inc. in the U.S. and/or other countries. Source4Style’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names or email addresses, in connection with any product or service in any manner that is likely to cause confusion.
12. Access and Interference
Much of the information on Source4Style is updated on a real-time basis and is proprietary or is licensed to Source4Style by Source4Style’s users or third parties. You agree that you will not use any robot, spider, scraper or other automated means to access Source4Style for any purpose without Source4Style’s prior express written permission. Additionally, you agree that you will not:
- Take any action that imposes, or may impose, in Source4Style’s sole discretion, an unreasonable or disproportionately large load on Source4Style’s infrastructure
- Copy, reproduce, modify, create derivative works from, distribute or publicly display any user Content (except for your Content) from the Site without the prior expressed written permission of Source4Style and the appropriate third party, as applicable
- Interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site
No Spam Policy. You understand and agree that sending unsolicited email advertisements to Source4Style email addresses or through Source4Style computer systems, which is expressly prohibited by these Terms, will use or cause to be used servers located in New York. Any unauthorized use of Source4Style computer systems is a violation of the Terms and certain federal and state laws. Such violations may subject the sender and his or her agents to civil and criminal penalties.
13. Breach
Without limiting any other remedies, Source4Style may, without notice, and without refunding any fees, delay or immediately remove Content, warn Source4Style’s community of a user’s actions, issue a warning to a user, temporarily suspend a user, temporarily or indefinitely suspend a user’s account privileges, terminate a user’s account, prohibit access to the Site, and take technical and legal steps to keep a user off the Site and refuse to provide services to a user if any of the following apply:
Source4Style suspects (by information, investigation, conviction, settlement, insurance or escrow investigation, or otherwise) a user has breached this Agreement, the Privacy Policy, or other policy documents and community guidelines incorporated herein;
Source4Style is unable to verify or authenticate any of your personal information or Content; Or Source4Style believes that a user is acting inconsistently with the letter or spirit of Source4Style’s policies, has engaged in improper or fraudulent activity in connection with Source4Style or the actions may cause legal liability or financial loss to Source4Style’s users or to Source4Style.
14. No Warranty
Source4style, Source4style’s subsidiaries, officers, directors, employees, and Source4style’s suppliers provide Source4style’s Website and services “as is” and without any warranty or condition, express, implied or statutory. Source4style, source4style’s subsidiaries, officers, directors, employees and Source4style’s suppliers specifically disclaim any implied warranties of title, merchantability, performance, fitness for a particular purpose and non-infringement. In addition, no advice or information (oral or written) obtained by you from Source4style shall create any warranty. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.
15. Liability Limit
In no event shall source4style, and (as applicable) source4style’s subsidiaries, officers, directors, employees or Source4style’s suppliers be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the site, source4style’s services, or this agreement, including without limitation, lost profits, bodily injury, emotional distress, or any special, incidental or consequential damages. Source4style’s liability, and (as applicable) the liability of source4style’s subsidiaries, officers, directors, employees, and suppliers, to you or any third parties in any circumstance is limited to the greater of (a) the amount of fees you pay to Source4style in the 12 months prior to the action giving rise to liability, and (b) $100. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
16. Indemnity
You agree to indemnify and hold Source4style and (as applicable) Source4style’s parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
17. No Guaranty
Source4Style does not guarantee continuous, uninterrupted access to the Site, and operation of the Site may be interfered with by numerous factors outside Source4Style’s control.
18. Legal Compliance
You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of Source4Style’s service and your listing, purchase, solicitation of offers to purchase, and sale of items.
19. Severability
If any provision of this Agreement is held unenforceable, then such provision will be modified to reflect the parties’ intention. All remaining provisions of this Agreement shall remain in full force and effect.
20. No Agency
You and Source4Style are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
21. Source4Style Service
Source4Style reserves the right to modify or terminate the Source4Style service for any reason, without notice, at any time. Source4Style reserves the right to alter the terms of this Agreement or other Website policies at any time. If the alterations constitute a material change to this Agreement, Source4Style will notify you via email to the email address in your account. What constitutes a “material change” will be determined at Source4Style’s sole discretion, in good faith, and using common sense and reasonable judgment.
22. Choice of Law
This Agreement shall in all respects be interpreted and construed with and by the laws of the State of New York and disputes arising under this Agreement will be adjudicated by the courts of the State of New York.
23. Survival
Sections 4 (User Obligations & Liabilities), 7 (Content, License), 8 (Information Control), 9 (Resolution of Dispute and Release), 11 (Source4Style’s Intellectual Property), 12 (Access and Interference), 13 (Breach), 14 (No Warranty), 14 (Liability Limit), 16 (Indemnity), 17 (No Guaranty), 19 (Severability), 20 (No Agency), 22 (Choice of Law) shall survive any termination or expiration of this Agreement.
25. Notices
Except as explicitly stated otherwise, any notices shall be given by postal mail to Source4Style Attn: Legal; 59 Grand Street, Brooklyn, NY 11249 (in the case of Source4Style) or, in your case, to the email address you provide to Source4Style (either during the registration process or when your email address changes). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, Source4Style may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to Source4Style. In such case, notice shall be deemed given three days after the date of mailing.
